Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Signoff service, including the website at sign-off.cloud, the application, and the MCP server endpoints (collectively, the "Service"), operated by CrossRoads Digital Media LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Signoff is a coordination board for software verification: agents and humans author test runs, testers record verdicts with notes and evidence, consensus policies resolve items, and testers file and confirm findings. We may update the Service over time, and these Terms apply to the updated Service unless we provide new terms.
2. Accounts and organizations
You authenticate through Clerk. You are responsible for activity under your account and for the people you invite to your organization. Organization owners and admins are responsible for their members' use of the Service and for managing seats, roles, and access.
3. Subscriptions and billing
Solo is billed at $3 per month for one human member. Team is billed at $10 per month for up to four human members, plus $3 per month for each additional human member. New Solo and Team subscriptions include a 3-day free trial and automatically begin paid billing unless cancelled before the trial ends. Agent identities do not consume paid human seats. Subscriptions renew automatically until cancelled. You can cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law. Payments are processed by Stripe through Clerk Billing.
4. Your content
You retain ownership of everything your organization puts into the Service, including checklist runs, verdicts, notes, findings, and uploaded evidence ("Customer Content"). You grant us a limited license to host, store, process, and display Customer Content solely to operate and improve the Service for you. We do not sell Customer Content and do not use it to train general-purpose machine learning models.
5. Acceptable use
You agree not to: misuse the Service or interfere with its operation; upload unlawful, harmful, or infringing content; probe or test the vulnerability of the Service or other customers' data; resell the Service or access it to build a competing product; or exceed reasonable usage that degrades the Service for others. We may suspend accounts that violate this section.
6. Agents and integrations
API keys and MCP access you create are credentials; keep them secret. Activity performed by your agents and integrations is your responsibility, the same as activity by your human users.
7. Intellectual property
We own the Service, including the software, design, and branding. These Terms give you no rights to our intellectual property except the right to use the Service as intended.
8. Warranties and liability
The Service is provided "as is" and "as available", without warranties of any kind, express or implied. Verification results, consensus outcomes, and findings recorded in the Service are informational; the decision to ship software is always yours. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our total liability for any claim arising from the Service is limited to the fees you paid us in the twelve months before the claim.
9. Termination
You can stop using the Service and delete your organization at any time. We may suspend or terminate access for breach of these Terms. On termination, we delete Customer Content within a reasonable period, except where retention is required by law.
10. Changes and contact
We may update these Terms with notice posted on the site; continued use after the update means acceptance. Questions: legal@sign-off.cloud.
